looks fine. if you live close to a microcenter id suggest you get the cpu there because you can get it for $190 or get a i7 3770k for $230

Looks solid to me. Unless you have extra plans for that 750w you would be fine with a 650W. I have an evga 650W 80+Gold powering my setup that is almost identical to yours besides that i have a gtx 680. It is more than enough even if overclocking and it is more efficient than the 80+ silver rated and $30 cheaper. Very high quality PSU for the price. But that one is purely preference.

Also, i would go with the Cooler Master 212 EVO instead of the Plus. Better heat pipe design that makes more contact with the CPU, thus even lower temps.

wouldn't the ram conflict with the cpu cooler because of the heat spreader, i have the vengeance LP and i had to move the fan on the hyper 212 bit higher. or maybe that just me...
